In the opinion of the directors, the financial statements set out
on pages 11 to 84 are drawn up so as to give a true and fair view
of the state of affairs of the Company and of the Group at 31 December
2002 and of the results of the business, and changes in equity of
the Company and of the Group and the cash flows of the Group for
the financial year then ended, and at the date of this statement
there are reasonable grounds to believe that the Company will be
able to pay its debts as and when they fall due.
